EQT to Acquire Range Resources in $13 Billion Deal, Aiming to Create Top US Natural Gas Producer

EQT Corporation is set to acquire Range Resources in a reported $13 billion deal that could reshape the US natural gas industry, strengthening its position in the Appalachian Basin and expanding its production capabilities.

The proposed transaction highlights the growing importance of natural gas in the United States, where demand from power generation, industrial consumers, liquefied natural gas (LNG) exports, and emerging energy-intensive industries is influencing investment decisions across the energy sector.

Major Consolidation in the US Natural Gas Industry

The reported acquisition represents a significant development in the American energy industry. By combining EQT’s existing natural gas operations with Range Resources’ assets, the transaction could create a larger producer with increased operational scale and a stronger position in one of the country’s most important natural gas-producing regions.

Both companies have significant operations in the Appalachian Basin, particularly the Marcellus Shale, a major source of US natural gas production. Combining their resources could provide opportunities to improve operational efficiency, streamline development activities, and strengthen infrastructure utilisation.

For EQT, the acquisition could expand its resource base and reinforce its position in the competitive US gas market. Range Resources would bring additional production assets and development opportunities, potentially allowing the combined business to benefit from economies of scale.

Rising Demand for Natural Gas Drives Industry Activity

Natural gas continues to play a major role in the US energy mix. Demand from electricity generation, manufacturing, and LNG export facilities has increased the strategic importance of reliable domestic gas supplies.

The expansion of LNG export capacity has also created opportunities for American gas producers to serve international markets. Countries seeking to diversify energy supplies have increased their interest in US natural gas, although export demand remains influenced by global prices, infrastructure capacity, and geopolitical developments.

At the same time, electricity demand from data centres and artificial intelligence infrastructure has attracted greater attention to dependable power generation. Natural gas-fired power plants can complement renewable energy sources by providing dispatchable electricity when needed.

These trends have encouraged energy companies to evaluate acquisitions, infrastructure investments, and production strategies aimed at capturing long-term demand growth.

Deal Structure and Financial Details

The transaction is structured as an all-stock deal, with Range Resources shareholders set to receive 0.987 shares of EQT stock for each Range share they own. The agreement values the acquisition at approximately $12.83 billion in equity value, equivalent to $54.91 per Range share.

Following completion, existing EQT shareholders are expected to own approximately 73% of the combined company, while Range Resources shareholders will hold the remaining 27%.

The merged business is expected to have an enterprise value exceeding $50 billion, including debt. The transaction is expected to close in the first quarter of 2027, subject to shareholder approval, regulatory clearances, and other customary closing conditions.

Production Capacity and Operational Synergies

The combined company is expected to produce more than 9 billion cubic feet equivalent of natural gas per day. It will control nearly 3 million net acres and have more than 30 years of drilling inventory, providing a substantial resource base for future development.

The company will also have access to more than 3,700 miles of midstream infrastructure, strengthening its ability to transport and market natural gas.

EQT expects the merger to generate approximately $325 million in annual synergies within two years, with a longer-term opportunity to exceed $600 million annually through operational improvements, infrastructure optimisation, and enhanced marketing activities.

The combined company also projects approximately $20 billion in cumulative free cash flow over five years at recent market prices. These projections remain subject to natural gas prices, operational performance, and other market conditions.

Leadership and Headquarters

EQT’s existing executive management team will lead the combined business, with headquarters remaining in Canonsburg, Pennsylvania.

Two representatives from Range Resources, including Chief Executive Officer Dennis Degner, are expected to join EQT’s board following the completion of the transaction.

The leadership structure is intended to combine the companies’ operational expertise while maintaining continuity in management and strategic planning.

What the Deal Means for the Energy Industry

The proposed acquisition reflects a broader consolidation trend in the US shale gas industry, where companies are seeking greater scale, lower production costs, and improved access to infrastructure and customers.

For EQT, combining operations with Range Resources could improve its competitive position against other major producers and strengthen its ability to negotiate long-term supply arrangements.

The transaction could also have implications for the wider energy market. A larger production base and expanded infrastructure may help the combined company respond to demand from utilities, industrial customers, and LNG exporters.

However, the company’s future performance will depend on natural gas prices, regulatory developments, pipeline capacity, and the pace of growth in domestic and international demand.

Conclusion

EQT’s proposed $13 billion acquisition of Range Resources marks a major development in the US natural gas sector. By combining two significant Appalachian Basin producers, the companies aim to establish a larger, more integrated business capable of benefiting from growing demand for natural gas.

If completed as planned in early 2027, the transaction could strengthen EQT’s position in the American energy market and create a major supplier for domestic consumers and international LNG markets.
