Hindalco Calls Off $125 Million AluChem Acquisition After Prolonged Delays

Mumbai, October 3, 2026: Hindalco Industries has terminated its proposed $125 million acquisition of US-based specialty alumina producer AluChem Companies Inc., bringing an end to a transaction that had been under review for more than a year. The companies jointly decided to terminate the equity purchase agreement after extended delays in completing the deal.

Hindalco, the metals arm of the Aditya Birla Group, said the delays were beyond the control of both parties. The acquisition, originally announced in June 2025, was intended to strengthen Hindalco’s specialty alumina business and expand its presence in the US market.

CFIUS Review Delayed the Transaction

The proposed acquisition required regulatory clearance from the Committee on Foreign Investment in the United States (CFIUS). Hindalco had previously reported several delays in the review process.

In February 2026, the company said a partial US federal government shutdown had affected the statutory timeline for the CFIUS review. The review was subsequently impacted by further delays, extending the time required to complete the transaction.

The prolonged process ultimately prevented the acquisition from reaching completion.

Specialty Alumina Strategy Remains Unchanged

Despite the cancellation, Hindalco said its broader strategy for expanding its high-value, technology-led value-added products in the specialty alumina business remains unchanged.

The company said it will continue to evaluate potential opportunities, including in the United States, that fit with its growth strategy.

Hindalco has been seeking to expand its downstream and value-added businesses, with specialty alumina forming part of that broader strategy. The company has previously outlined an ambition to increase specialty alumina capacity significantly in the coming years.

AluChem to Continue Independently

The termination means AluChem will remain an independent business rather than becoming part of Hindalco’s global portfolio. The US company will continue serving its customers across the specialty alumina value chain.

The proposed transaction involved AluChem’s specialty calcined and tabular alumina business, products used in several industrial applications.

Hindalco Keeps Looking for Growth Opportunities

The collapse of the transaction does not signal a change in Hindalco’s stated focus on specialty alumina. Instead, the company has indicated that it will continue assessing acquisition and investment opportunities that can expand its high-value product portfolio.

The episode also highlights how cross-border acquisitions can face lengthy regulatory processes, particularly when transactions involving strategic industrial assets require additional government review.

For Hindalco, the immediate outcome is the loss of a planned US acquisition, but the company continues to pursue its longer-term objective of increasing the contribution of downstream and value-added products to its business.
